These Terms & Conditions set out how we work, how services are billed, and how cancellations and approvals are handled.

1. General
1.1 These Terms & Conditions apply to all services provided by Tweak IT Media Limited (“we”, “us”, “our”) to the client (“you”, “your”).
1.2 These terms apply unless otherwise agreed in writing by email.
1.3 Quotes are valid for 30 days unless stated otherwise.
1.4 We may update these terms from time to time. Updated terms apply to new work and renewals only.
2. Payments & Invoicing
2.1 Tweak IT Media Limited is not VAT registered. No VAT is charged unless this status changes in the future.
2.2 Invoices are payable in accordance with the agreed billing schedule.
2.3 Late payment may result in suspension of services without notice.
2.4 Suspension of services does not remove the obligation to pay outstanding amounts.
2.5 Fees paid or invoiced are non-refundable unless expressly stated otherwise in these terms.
If VAT registration status changes, VAT will apply from the effective date onward and will not apply retrospectively.
3. Pausing & Cancellation (Global Rule)
3.1 Services may only be ended through formal cancellation in accordance with these terms.
3.2 Pausing services, reduced usage, inactivity, or lack of engagement does not constitute cancellation and does not suspend fees, deposits, or payment obligations unless expressly stated otherwise.
4. Google Ads (AdWords) Management
4.1 Google Ads management is provided on a monthly basis and billed in advance.
4.2 Clients may cancel management at any time, with cancellation taking effect at the end of the current billing period.
4.3 No refunds are provided once work for the billing period has commenced.
4.4 Pausing, stopping, or reducing advertising activity does not constitute cancellation and does not suspend management fees.
4.5 Management fees remain payable unless and until the service is formally cancelled.
4.6 Cancellation applies to management services only. Advertising spend paid to Google or third-party platforms is non-refundable.
5. SEO Services
5.1 SEO services are subject to a minimum commitment period of three (3) months.
5.2 SEO services may not be cancelled during the minimum commitment period.
5.3 Pausing SEO does not pause the minimum term or suspend fees.
5.4 After the minimum term, SEO continues on a rolling monthly basis and may be cancelled with 30 days’ written notice.
5.5 SEO work is planned monthly based on agreed priorities and is not task-based.
5.6 No refunds are provided for work completed or in progress.
6. Social Media Management
6.1 Social Media services are provided on a monthly basis and billed in advance.
6.2 Clients may cancel at any time, with cancellation taking effect at the end of the current billing period.
6.3 No refunds are provided once work for the billing period has commenced.
6.4 Pausing posting, reducing activity, or requesting no posts does not suspend fees.
6.5 Delays in approvals, assets, access, or feedback do not pause fees.
6.6 Each plan includes a defined scope. Requests outside scope may incur additional fees.
7. Cyber Security Services
7.1 Cyber Security services are provided monthly and billed in advance.
7.2 Clients may cancel at any time, effective at the end of the billing period.
7.3 No refunds are provided once work has commenced.
7.4 Pausing services or failure to implement recommendations does not suspend fees.
7.5 Third-party software, licences, or subscriptions are non-refundable and subject to third-party terms.
8. Support & Maintenance
8.1 Support and Maintenance services are provided on a monthly basis.
8.2 Not requesting support does not constitute cancellation.
8.3 Fees remain payable unless the service is formally cancelled.
9. Hosting
9.1 Hosting services cannot be paused.
9.2 Fees remain payable while hosting resources are allocated.
9.3 Cancellation takes effect in line with the billing period.
9.4 No refunds are provided for unused hosting time.
9.5 Where hosting or SSL is included, this is limited to the period stated in the agreed package or quote.
10. Project Basis
10.1 Website and eCommerce services are provided on a quoted, per-project basis.
Deposits & Payment
10.2 A non-refundable deposit is required to secure scheduling and commencement of work:
10.3 Deposits are non-refundable once work has commenced.
10.4 The remaining balance is payable in full prior to the site going live.
10.5 “Going live” means the site is complete, approved, and ready for launch, whether or not publicly accessible.
10.6 Alternative payment arrangements must be agreed in writing.
Client Delays & Cancellation
10.7 Client delays or failure to provide required materials do not suspend fees.
10.8 Client-requested pauses may extend timelines and incur additional costs.
10.9 If cancelled, all work completed to date remains payable.
Scope, Design & Launch Approvals
10.10 The client must approve the agreed project scope by email before work begins.
10.11 The client must approve the website design by email before development starts.
10.12 Design approval confirms acceptance of layout, structure, and visuals.
10.13 Changes requested after design approval may incur additional fees or revised timelines.
10.14 The client must approve the site to go live by email once development is complete.
10.15 Approval will not be implied by silence, inactivity, or partial feedback.
eCommerce-Specific Terms
10.16 Product uploads are limited to the amount stated in the package or quote.
10.17 Additional product uploads are quoted separately.
10.18 Clients must supply complete and accurate product data in a usable format.
10.19 Complex delivery, tax, payment rules, integrations, or conditional logic outside scope are chargeable.
10.20 Training is limited to an initial handover or walkthrough session. Ongoing support requires a separate agreement.
10.21 SEO essentials refer to basic on-page setup only and do not include ongoing SEO services.
11. Change Requests
11.1 Any request outside the agreed scope constitutes a change request.
11.2 Change requests may affect cost and timelines.
11.3 No change work begins without written agreement.
12. Failure to Pay
12.1 Non-payment may result in service suspension without notice.
12.2 Suspension does not remove payment obligations.
12.3 All outstanding balances remain payable.
13. Limitation of Liability
13.1 We are not liable for indirect, incidental, or consequential losses.
13.2 Liability is limited to the fees paid for the relevant service in the preceding three months.
13.3 No guarantees are given for rankings, performance, sales, or results.
14. Force Majeure
14.1 We will not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control (“Force Majeure Event”).
14.2 Force Majeure Events include, without limitation, acts of God, extreme weather, fire, flood, war, terrorism, civil unrest, strikes or labour disputes, pandemics, government action, power or internet outages, supplier or hosting provider failures, and failure of third-party platforms or services.
14.3 Where a Force Majeure Event occurs, our obligations are suspended for the duration of the event and affected timelines will be extended accordingly.
14.4 If a Force Majeure Event continues for a prolonged period, either party may terminate the affected services by written notice. Fees for work completed up to the termination date remain payable.
15. Governing Law
15.1 These Terms & Conditions are governed by the laws of England and Wales.
15.2 The courts of England and Wales have exclusive jurisdiction.
